El empresario se siente enga\u00f1ado y anula extrajudicialmente el acuerdo transaccional por fraude o error. El nuevo propietario del restaurante reclama el cumplimiento. \u00bfC\u00f3mo se pronuncia el tribunal en un procedimiento sumario?<\/p>\n<p><!--more--><\/p>\n<p><strong>Motivo de error<\/strong><br \/>El tribunal declar\u00f3 en primer lugar que la finalidad de un acuerdo transaccional es resolver definitivamente una incertidumbre o un litigio. Por lo tanto, la invocaci\u00f3n del error por parte del empresario debe juzgarse con moderaci\u00f3n, pero no queda excluida.<\/p>\n<p><strong>\u00bfIncumplimiento del deber de informaci\u00f3n?<\/strong><br \/>El empresario alega que el subdirector del hotel (en lo sucesivo, \"gerente\") incumpli\u00f3 su deber de informaci\u00f3n. En el momento de firmar el acuerdo de conciliaci\u00f3n, el gerente ten\u00eda perspectivas concretas de explotar su propio negocio. Un art\u00edculo de prensa sobre la apertura data de apenas una semana despu\u00e9s de la firma del acuerdo de conciliaci\u00f3n. Para entonces, ya se hab\u00eda firmado el contrato de arrendamiento del local, se hab\u00eda solicitado el permiso, se hab\u00eda completado el registro en la C\u00e1mara de Comercio y la renovaci\u00f3n ya estaba en marcha. El empresario considera que el gerente deber\u00eda haberle informado de ello. El empresario nunca habr\u00eda llegado a un acuerdo con el gerente en los mismos t\u00e9rminos si hubiera sabido que \u00e9ste podr\u00eda empezar a trabajar en su propio restaurante al d\u00eda siguiente, por as\u00ed decirlo.<\/p>\n<p>El tribunal de distrito consider\u00f3 lo siguiente. En general, la jurisprudencia parte de la base de que el deber aut\u00f3nomo de informaci\u00f3n por parte del trabajador s\u00f3lo entra en juego cuando se le ha hecho una oferta concreta y detallada de celebrar un contrato de trabajo. Esto implica una perspectiva concreta de otros ingresos. En este caso, no hab\u00eda pruebas de que, en el momento en que se firm\u00f3 el acuerdo de conciliaci\u00f3n, el gerente ya estuviera trabajando en su restaurante y generando ingresos sustanciales por ello. Aunque ya hab\u00eda dado varios pasos para poner en marcha su propio negocio, en ese momento no ten\u00eda una visi\u00f3n definida de abrir realmente su restaurante. Todav\u00eda estaba esperando la licencia necesaria. En esas circunstancias, el gerente no ten\u00eda por qu\u00e9 comunicar por iniciativa propia que ten\u00eda planes (elaborados) para empezar a trabajar como empresario. Al fin y al cabo, a\u00fan no hab\u00eda perspectivas concretas de obtener ingresos (sustanciales) de esa empresa.<\/p>\n<p><strong>El empresario no pregunt\u00f3 por los planes<\/strong><br \/>Las partes acordaron expl\u00edcitamente en el acuerdo de conciliaci\u00f3n que hab\u00edan planteado todas las cuestiones relevantes para ellas en la celebraci\u00f3n de dicho acuerdo. Ha quedado acreditado que el empresario no pregunt\u00f3 por los planes futuros del directivo durante las negociaciones (que duraron meses). Si, para el empresario, la informaci\u00f3n sobre cualquier perspectiva de otro trabajo era tan esencial en el contexto del acuerdo de conciliaci\u00f3n como ahora afirma, habr\u00eda estado en su mano se\u00f1al\u00e1rselo al directivo en alg\u00fan momento de las negociaciones y preguntarle al respecto. La alegaci\u00f3n del empresario de que no vio raz\u00f3n alguna para hacerlo debido a la incapacidad laboral del gerente no puede servirle de ayuda. Al fin y al cabo, las partes hicieron constar en el acuerdo de conciliaci\u00f3n que el gerente ya no estaba enfermo en ese momento. Dado que las partes pretend\u00edan poner fin a la relaci\u00f3n laboral, el empresario no puede sorprenderse de que el directivo empezara a orientarse en el mercado laboral y a hacer planes para el futuro. Tambi\u00e9n por este motivo, el tribunal de primera instancia estim\u00f3 con car\u00e1cter preliminar que el gerente no ten\u00eda obligaci\u00f3n de revelar informaci\u00f3n alguna porque, dadas las circunstancias, no ten\u00eda por qu\u00e9 sospechar que sus planes de abrir un restaurante ser\u00edan una parte esencial de las negociaciones sobre la indemnizaci\u00f3n.<\/p>\n<p><strong>Conclusi\u00f3n juez<\/strong><br \/>La conclusi\u00f3n de lo anterior es que el gerente no ten\u00eda la obligaci\u00f3n de hacer anuncios (espont\u00e1neos) al empresario sobre sus planes previstos. Por lo tanto, en opini\u00f3n preliminar del tribunal de distrito, no cabe hablar de fraude y\/o error. El acuerdo transaccional no es anulable por ese motivo.<\/p>\n<p>Lo anterior lleva a la conclusi\u00f3n (preliminar) de que es probable que el tribunal dictamine en un procedimiento sobre el fondo que la anulaci\u00f3n del acuerdo transaccional no estaba justificada y no ten\u00eda efectos jur\u00eddicos. Por lo tanto, el acuerdo de liquidaci\u00f3n no se modific\u00f3 por el momento. Se estimar\u00e1 la pretensi\u00f3n del gestor de que se ordene al empresario cumplir el acuerdo.<\/p>\n<p><strong>Nota: <\/strong>El tribunal es claro. Si la informaci\u00f3n sobre la perspectiva de otro trabajo era esencial para el empresario en el contexto del acuerdo de conciliaci\u00f3n, deber\u00eda haber preguntado al gerente al respecto.
